These Terms of Service (“Terms”) are a legal agreement between High Desert Water Systems (“HDWS,” “we,” “us,” or “our”) and any person or entity (“you” or “Customer”) that accesses our website, schedules appointments, purchases services or products, or communicates with us, including by SMS text message (the “Services”). By using the Services, you agree to these Terms.

If you do not agree to these Terms, do not use the Services.

2. Eligibility & Accounts

You must be at least the age of majority in your state or province to use the Services. If you create an account or schedule on behalf of a company or household, you represent that you are authorized to bind that party to these Terms. You agree to provide accurate contact information and to keep it current.

3. Appointments, On-Site Service, and Installations

  • 3.1 Scheduling. You may book appointments through our online scheduler or by phone. We may send confirmations, reminders, updates, or rescheduling links.

  • 3.2 Preparation & Access. You are responsible for ensuring safe and timely access to the service location and for following any preparation instructions provided.

  • 3.3 Estimates & Changes. Any time or fee estimates are informational. Actual scope, pricing, or timing may change based on on-site findings or Customer requests. We will notify you of material changes before proceeding whenever feasible.

  • 3.4 Water Testing & Information Only. Any water test information or recommendations we provide are for general informational purposes and do not guarantee potability or compliance with any regulation. Laboratory testing and local regulations may apply.

4. Prices, Billing & Payments

  • 4.1 Pricing. Unless otherwise stated, prices are quoted in U.S. dollars and exclude taxes and third-party fees.

  • 4.2 Invoices & Payments. We may issue invoices or payment links via third-party providers (e.g., invoicing or payment processors). You authorize us and our providers to charge your selected payment method for due amounts. Third-party terms may apply.

  • 4.3 Late/Failed Payments. We may suspend or cancel appointments for non-payment. You are responsible for any bank or processor fees resulting from invalid or insufficient payment methods.

  • 4.4 Refunds. Any refunds are at our discretion and subject to applicable law and our posted refund policies, if any.

5. SMS/Text Messaging Program (“SMS Program”)

We offer an SMS text messaging program to communicate about your relationship with us.

  • Program description (transactional): Appointment confirmations, reminders, schedule updates, service notifications, maintenance reminders (e.g., filter-change due), and links to invoices or scheduling pages. We do not send promotional or marketing SMS under this program.

  • Consent. By providing your mobile number and submitting our booking form or otherwise providing written consent, you agree to receive SMS from High Desert Water Systems which may be sent via an autodialer at the number you provided, for the purposes described above. Consent is not a condition of purchase.

  • Message frequency. Message frequency 2–4 msgs/month, plus additional messages around scheduled appointments or service events.

  • Opt-out. You may opt out at any time by replying STOP. (Common synonyms like END, CANCEL, UNSUBSCRIBE, and QUIT are also honored.) After you send STOP, we may send a confirmation text and you will no longer receive SMS from us, unless you later reply START to re-opt in.

  • Charges. Msg & data rates may apply.

  • Carriers. Wireless carriers are not liable for delayed or undelivered messages.

  • Note about UI-limited checkboxes. If our booking interface limits the length of the checkbox label, we present a shortened label and display the full SMS disclosure adjacent to the checkbox (e.g., in the event description) and/or link directly to these Terms. Your consent covers the SMS Program as described in this Section 5.

6. Acceptable Use

You agree not to misuse the Services or interfere with their operation. Prohibited activities include unlawful conduct; infringing, harmful, or deceptive content; attempting to access or damage our systems; or using the Services to harass, spam, or violate the rights of others.

7. Intellectual Property

All content and materials we provide (text, graphics, logos, software, and documentation) are owned by or licensed to HDWS and protected by law. You receive a limited, non-exclusive, non-transferable right to use the Services for their intended purpose. No other rights are granted.

8. Third-Party Links & Tools

The Services may contain links to third-party websites and tools (including schedulers, invoicing or payment providers, and messaging platforms). We are not responsible for third-party content, availability, or practices. Use of third-party services is at your own risk and may be governed by separate terms and privacy policies.

9. Disclaimers

TO THE FULLEST EXTENT PERMITTED BY LAW, THE SERVICES (INCLUDING ANY SMS MESSAGES, REMINDERS, NOTICES, RECOMMENDATIONS, OR WATER-TEST INFORMATION) ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT GUARANTEE THAT MESSAGES WILL BE TIMELY, ACCURATE, UNINTERRUPTED, SECURE, OR ERROR-FREE.

10. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, HDWS AND ITS OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, COVER, EXEMPLARY, OR PUNITIVE DAMAGES; LOST PROFITS OR REVENUE; LOSS OF DATA; OR BUSINESS INTERRUPTION, EVEN IF ADVISED OF THE POSSIBILITY. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICES WILL NOT EXCEED THE AMOUNTS YOU PAID TO HDWS FOR THE SERVICE GIVING RISE TO THE CLAIM IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY.

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO SOME LIMITATIONS ABOVE MAY NOT APPLY TO YOU.

11. Indemnification

You agree to defend, indemnify, and hold harmless HDWS from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to your use of the Services, your violation of these Terms, or your violation of any rights of a third party.

12. Changes to the Services or These Terms

We may modify the Services or these Terms at any time. If we make material changes, we will post the updated Terms with a new “Last updated” date and, where required, provide additional notice. Continued use of the Services after changes become effective constitutes acceptance of the updated Terms.

13. Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of Nevada (without regard to conflict-of-law principles). You agree to the exclusive jurisdiction and venue of the state and federal courts located in United States, Nevada to resolve any dispute arising from or relating to the Services or these Terms.

Where permitted by law, both parties waive the right to a jury trial. You and HDWS agree to bring claims only in your or our individual capacity and not as a plaintiff or class member in any purported class or representative proceeding.

14. Termination

We may suspend or terminate access to the Services (including the SMS Program) for any reason or no reason, including suspected violations of these Terms. Upon termination, your right to use the Services will cease immediately, but sections that by their nature should survive (e.g., disclaimers, limitations of liability) will remain in effect.

15. Notices; Electronic Communications

You consent to receive notices and communications from us electronically (including by email, SMS, and posting on our website). You agree that all agreements, notices, disclosures, and other communications we provide electronically satisfy any legal requirement that such communications be in writing.

16. Miscellaneous

If any provision of these Terms is found unenforceable, the remaining provisions will remain in full force. Our failure to enforce any right is not a waiver. You may not assign these Terms without our written consent; we may assign them as part of a merger, acquisition, or sale of assets.
